Terms & Conditions

By accessing or using the Untitled UI website, products, or services, you agree to these Terms & Conditions entered into between Sisyphus Ventures Pty Ltd (ACN 655 466 729), trading as Untitled UI® (ABN 65 655 466 729) (“Untitled UI”, “we”, “us”, or “our”), and the individual or entity accessing or purchasing our products or services (“Customer”, “you”, or “your”).

These Terms & Conditions apply to the use of our website, products, services, repositories, downloads, APIs, and related offerings, including Untitled UI Figma, Untitled UI React, or Untitled UI Icons (collectively, the “Products”).

Use of the Products is also subject to the applicable license agreement, including the standard License Agreement or, where applicable, the Enterprise User License Agreement (EULA).

We reserve the right to refuse or cancel orders, suspend or revoke access to the Products, or terminate licenses where we reasonably suspect fraud, unauthorized use, illegal activity, or a breach of the applicable license agreement or these Terms & Conditions.

Ownership and Intellectual Property

Untitled UI and its licensors retain all right, title, and interest in and to the Products, including all source code, design assets, icons, components, documentation, branding, and related intellectual property rights.

Customer receives a limited, non-exclusive, non-transferable, non-sublicensable license to use the Products solely in accordance with this Agreement.

Purchase of a license does not transfer ownership of the Products or any intellectual property rights to Customer.

Customer retains ownership of its own applications, websites, and end products created using the Products, excluding the Products themselves.

Links To Other Web Sites

Our Website/Service may contain links to third party web sites or services that are not owned or controlled by Untitled UI (e.g. external documentation or tutorials).

Untitled UI has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Untitled UI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

Indemnification

Our Website/Service may contain links to third party web sites or services that are not owned or controlled by Untitled UI (e.g. external documentation or tutorials).

Limitation of Liability

Sisyphus Ventures Pty Ltd’s liability to you for costs, damages, or other losses arising from your use of Untitled UI, including third-party claims against you, is limited to a refund of your purchase.

Sisyphus Ventures Pty Ltd may not be held liable for any consequential damages related to your use of Untitled UI or related websites, files, and services.

Disclaimer

Your use of the Service/Product is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Untitled UI and its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

Untitled UI® is operated by Sisyphus Ventures Pty Ltd (ABN 65 655 466 729) based in Melbourne, Australia.

This Agreement is governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia and its appellate courts.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service/Product after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the Service/Product.
