License Agreement

By purchasing, downloading, or using any Untitled UI products, including Untitled UI Figma, Untitled UI React, or Untitled UI Icons (collectively "Items"), you agree to the terms of the following License Agreement.

Untitled UI is a registered business (ABN 65 655 466 729) operated by Sisyphus Ventures Pty Ltd (ACN 655 466 729). This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and Sisyphus Ventures Pty Ltd (“Company”).

Summary

You may use both the FREE and PRO versions of Untitled UI Figma, Untitled UI React, or Untitled UI Icons in unlimited personal and commercial projects. The following License Agreement outlines what is and is not allowed in more detail.

You are NOT allowed to:

Sell, sublicense, distribute, or otherwise grant rights to the files or assets within the files (in original or modified form). This includes participating in "group buys".
Use any of the files or assets within the files in a UI kit, library, template, or framework (including for other software and frameworks).
Distribute or publish the files or assets within the files online, or share access to the files with other users (unless you've purchased a team license).

In short, use Untitled UI responsibly and in good faith. Don’t share files or assets with unlicensed users, and don’t resell or repurpose them to create competing products like UI kits or templates.

Team and User Access

A "user" is defined as any individual within your company or organization who directly accesses or uses Untitled UI files, components, or assets. This includes access to published Figma libraries using Untitled UI products. Users added to your Untitled UI React license will be able to sign in to access components.

You may share access to the Items with your team members only if you've purchased a PRO TEAM (up to 5 users), PRO ENTERPRISE (up to 12 users), or PRO UNLIMITED (unlimited users) license for the respective products. License seats cannot be allocated to users outside of your company or organization.

License Terms

This license grants the Licensee an ongoing, non-exclusive, worldwide license to use the Items in accordance with this License Agreement.

You are licensed to use the purchased Items to create unlimited End Products for yourself or your clients. An End Product is defined as a customized implementation of the Item that does not allow third parties to access, extract, or reuse the original assets, files, or code.

You are allowed to:

Create End Products for personal or commercial use.
Use Items in unlimited projects (this is a multi-use license).
Combine the Items with other works or files and create derivative works.
Use Items in commercial products, as long as source files (JSX, Tailwind, Figma files etc.) are not exposed.
Use the Items, provide access, or publish a Figma library within your team or organization only if you have purchased a PRO TEAM, PRO ENTERPRISE, or PRO UNLIMITED license. If you need to upgrade your license to add more users, please get in touch via [email protected].

Examples of usage allowed by the license:

Creating websites, web applications, and apps for yourself, your company, or for a client.
Creating websites, web applications, and apps for end users who pay to use as a one-time fee or a subscription.
Using Untitled UI for an internal design system or library.

You are NOT allowed to:

Sell, sublicense, share, distribute, or publish the Items (in original or modified form).
Share access to your license or login with others, or participate in any form of "group buy" or organized sharing of the Items, whether paid or unpaid.
Use Items in any form of UI kit, design system, code library, template, or builder intended for resale, redistribution, or public access, regardless of format or platform (even if modified). You may create internal design systems, libraries, or templates for use within your own projects or organization, but not as standalone resources available for free or for sale.
Expose raw Untitled UI React source code in any product, including open-source repositories, downloadable assets, or browser-accessible code.
Use the Items, provide access, or publish a Figma library within your team or organization unless you have purchased a PRO TEAM, PRO ENTERPRISE, or PRO UNLIMITED license. If you need to upgrade your license to add more users, please get in touch via [email protected].

Examples of usage not allowed:

Sharing or publishing files or assets online, or making them publicly available.
Sharing files or access to files with other users who have not purchased a license.
Organizing or participating in a "group buy" agreement or sharing files as part of a group buy.
Selling or distributing files (or assets within the files) in any capacity (even if modified).
Creating a Framer, Webflow, or Sketch version of Untitled UI and making it available for free or for sale (even if modified).
Creating a version of Untitled UI for any framework (e.g., React, Vue, HTML, Bootstrap, Tailwind) and making it available for free or for sale (even if modified).
Creating a UI kit, library, theme, template, design system, or starter kit using Untitled UI and making it available for free or for sale (even if modified).
Creating an app or website builder that includes Untitled UI components, designs, assets, or templates (even if modified).
Creating a repository of Untitled UI components (or derivatives based on Untitled UI components) and making it available for free or for sale.

In short, use Untitled UI responsibly and in good faith. Don’t share files or assets with unlicensed users, and don’t resell or repurpose Untitled UI to create competing products.

Open-source Components

Many Untitled UI React components are made available as open-source software under the MIT License. These components are clearly marked as open source within the documentation and codebase.

MIT-licensed components are not subject to the terms of this License Agreement but in accordance with the terms of the MIT License.

By using Untitled UI React, you agree to respect and comply with the terms of both this License Agreement and the open-source MIT License where applicable.

Enforcement and Penalties

All Items are copyrighted works owned by Sisyphus Ventures Pty Ltd. You are granted only the permissions described in this license; all other rights are reserved.

Sisyphus Ventures Pty Ltd reserves the right to revoke licenses and access to Untitled UI products at our own discretion if we have reason to believe deception or unauthorized use outside the scope of this license has occurred. In cases of blatant or malicious license violations, no refund will be issued.

Sisyphus Ventures Pty Ltd reserves the right to pursue legal remedies for any unauthorized use of Untitled UI products outside the scope of this license, especially in the case where assets are used to create a competing product (e.g. library, UI kit, or templates) or distributed or sold online (including as part of "group buys").

By purchasing or downloading Untitled UI products, you agree to be financially liable for USD $10,000 per individual breach of this License Agreement, including when files are shared as part of a "group buy". In the case that your copies of Untitled UI files or assets are shared online or on a piracy forum, you agree to be held financially liable for each individual download as a separate offense.

Limitation of Liability

Sisyphus Ventures Pty Ltd’s liability to you for costs, damages, or other losses arising from your use of Untitled UI—including third-party claims against you—is limited to a refund of your purchase.

Sisyphus Ventures Pty Ltd may not be held liable for any consequential damages related to your use of Untitled UI.

Refund Policy

All sales are final. Due to the digital nature of our products and abuse of our previous Refund Policy, we no longer offer refunds.

Please use the preview links on our website to explore the full versions of Untitled UI Figma, Untitled UI React, and Untitled UI Icons before purchasing. These are provided so you can evaluate the Figma files and React components to decide whether the product is right for your needs. We also offer free versions of all Untitled UI products.

Please do not purchase unless you are confident that the product suits your use case and you are familiar with Figma, React, Tailwind CSS, or other relevant tools and technologies.
