License Agreement

By purchasing, downloading, or using any Untitled UI products, including Untitled UI Figma, Untitled UI React, or Untitled UI Icons (collectively "Products"), you agree to the terms of the following License Agreement.

This License Agreement (“Agreement”) is entered into between Sisyphus Ventures Pty Ltd (ACN 655 466 729), trading as Untitled UI® (ABN 65 655 466 729) (“Untitled UI”, “Company”, “we”, “us”, or “our”), and the entity purchasing or otherwise accessing a valid PRO SOLO , PRO STUDIO, or PRO BUSINESS license (“Customer”, “you”, or “your”).

Important

Untitled UI has two separate license agreements:

This License Agreement applies solely to customers purchasing or using standard commercial licenses for Untitled UI products, including PRO SOLO, PRO STUDIO, and PRO BUSINESS. licenses.

Customers purchasing or using a PRO ENTERPRISE license on or after June 14, 2026 are subject to a separate Enterprise User License Agreement (EULA). This License Agreement does not apply to PRO ENTERPRISE licenses in this case.

In the event of any conflict between this License Agreement and a separate enterprise agreement, the enterprise agreement shall control to the extent of the conflict.

Summary

You may use both the FREE and PRO versions of Untitled UI Figma, Untitled UI React, or Untitled UI Icons in unlimited personal and commercial projects. The following License Agreement outlines what is and is not allowed in more detail.

You are NOT allowed to:

Sell, sublicense, distribute, or otherwise grant rights to the files or assets within the files (in original or modified form). This includes participating in "group buys".
Use any of the files or assets within the files in a competing UI kit, library, template, or framework (including for other software and frameworks).
Distribute or publish the files or assets within the files online, or share access to the files with other users.

In short, use Untitled UI responsibly and in good faith. Don’t share files or assets with unlicensed users, and don’t resell or repurpose them to create competing products like UI kits or templates.

Team and User Access

Licenses are based on the number of permitted users. A “user” is any individual in your organization who directly accesses Untitled UI files, components, or Figma libraries. This includes access to published Figma libraries using Untitled UI products.

Access may only be shared if you’ve purchased a PRO STUDIO (up to 8 users), PRO BUSINESS (up to 20 users), or PRO ENTERPRISE (unlimited users) license. User seats cannot be assigned outside your organization.

PRO SOLO licenses are limited to a single user and may not be shared, transferred, or reassigned. The registered account email cannot be changed after purchase.

PRO STUDIO, PRO BUSINESS, and PRO ENTERPRISE licenses allow multiple users from a single organization and permit updating the admin or license holder email.

If you need to upgrade your license to add more users, please click the Upgrade license links via your Account page to upgrade. A discount will be automatically applied to offset the amount you've already paid.

License Terms

This license grants the Licensee an ongoing, non-exclusive, worldwide license to use the Products in accordance with this License Agreement.

You are licensed to use the purchased Products to create unlimited End Products for yourself or your clients. An End Product is defined as a customized implementation of the Item that does not allow third parties to access, extract, or reuse the original assets, files, or code.

You are allowed to:

Create End Products for personal or commercial use.
Use Products in unlimited projects (this is a multi-use license).
Combine the Products with other works or files and create derivative works.
Use Products in commercial products, as long as source files (JSX, Tailwind, Figma files etc.) are not exposed.
Use the Products, provide access, or publish a Figma library within your team or organization only if you have purchased a PRO SOLO, PRO BUSINESS, or PRO ENTERPRISE license. Examples of usage allowed by the license:

Creating websites, web applications, and apps for yourself, your company, or for a client.
Creating websites, web applications, and apps for end users who pay to use as a one-time fee or a subscription.
Using Untitled UI for an internal design system or library.

You are NOT allowed to:

Sell, sublicense, share, distribute, provide access to, or publish the Products (in original or modified form).
Share product files, source code, assets, API keys, repository access, or authentication credentials with unlicensed users.
Share access to your license, login credentials, or magic links with others, or participate in any form of "group buy" or organized sharing of the Products, whether paid or unpaid.
Use Products in any form of UI kit, design system, code library, template, or builder intended for resale, redistribution, or public access, regardless of format or platform (even if modified). You may create internal design systems, libraries, or templates for use within your own projects or organization, but not as standalone resources available for free or for sale.
Expose raw Untitled UI React source code in any product, including open-source repositories, downloadable assets, or browser-accessible code.
Use the Products, provide access, or publish a Figma library within your team or organization unless you have purchased a PRO SOLO, PRO BUSINESS, or PRO ENTERPRISE license. Add our support contact emails to any mailing list or send unsolicited marketing or bulk communications. This includes using contact information obtained through a purchase, download, account access, or support interaction.

Examples of usage not allowed:

Sharing or publishing files or assets online, or making them publicly available.
Sharing login credentials and magic links.
Organizing or participating in a "group buy" agreement or sharing files as part of a group buy.
Selling or distributing files (or assets within the files) in any capacity (even if modified).
Creating a Framer, Webflow, or Sketch version of Untitled UI and making it available for free or for sale (even if modified).
Creating a version of Untitled UI for any framework (e.g., React, Vue, HTML, Bootstrap, Tailwind) and making it available for free or for sale (even if modified).
Creating a UI kit, library, theme, template, design system, or starter kit using Untitled UI and making it available for free or for sale (even if modified).
Creating an app or website builder that includes Untitled UI components, designs, assets, or templates (even if modified).
Creating a repository of Untitled UI components (or derivatives based on Untitled UI components) and making it available for free or for sale.

In short, use Untitled UI responsibly and in good faith. Don’t share login credentials, magic links, or files or assets with unlicensed users, and don’t resell or repurpose Untitled UI to create competing products.

Discount Code Misuse

Discount codes, including education discount codes, are non-transferable and may only be used by the individual to whom they were originally issued.

You may not request or obtain a discount code on behalf of someone else. Sharing a discount code with any third party, including friends, colleagues, or members of online communities, is strictly prohibited.

Misuse of discount codes (such as requesting a education discount for someone who is not a student or purchasing under a different name or identity) will result in immediate license termination without refund.

Affiliate Program Abuse

You may not refer yourself, create fake accounts, impersonate our business, spam links, share discount codes without prior authorization, or engage in deceptive activity of any kind.

Any attempt to abuse our affiliate program will result in immediate license termination without refund. We reserve the right to terminate affiliate accounts and referrals if we detect suspicious activity or false referrals.

Ownership and Intellectual Property

Untitled UI and its licensors retain all right, title, and interest in and to the Products, including all source code, design assets, icons, components, documentation, branding, and related intellectual property rights.

Customer receives a limited, non-exclusive, non-transferable, non-sublicensable license to use the Products solely in accordance with this Agreement.

Purchase of a license does not transfer ownership of the Products or any intellectual property rights to Customer.

Customer retains ownership of its own applications, websites, and end products created using the Products, excluding the Products themselves.

Open-source Components

Certain Untitled UI React components are made available as open-source software under the MIT License. These components are clearly marked as open source within the documentation and codebase.

MIT-licensed components are not subject to the terms of this License Agreement, but in accordance with the terms of the MIT License.

By using Untitled UI React, you agree to respect and comply with the terms of both this License Agreement and the open-source MIT License where applicable.

Enforcement & Prohibited Conduct

Untitled UI® is a registered trademark. All design assets, code, documentation, and related materials are protected by U.S. and international copyright registrations and intellectual property laws. All Products are copyrighted works owned exclusively by Sisyphus Ventures Pty Ltd. You are granted only the rights expressly described in this Agreement; all other rights are strictly reserved.

Except as expressly permitted under this Agreement, you may not copy, share, resell, sublicense, redistribute, publish, re-upload, or otherwise make the files, or any portion of Untitled UI, available to any third party.

Any unauthorized copying, sharing, redistribution, resale, credential sharing, account sharing, “group buys,” piracy, or facilitation of distribution (including sharing login credentials, magic links, source files, derivative versions, or modified assets) constitutes trademark infringement, copyright infringement, and a material breach of this Agreement.

This includes, without limitation, using Untitled UI assets to create derivative or competing products such as UI kits, component libraries, templates, themes, or similar products intended for sale or public distribution.

Termination, Penalties & Legal Remedies

Sisyphus Ventures Pty Ltd reserves the right, at its sole discretion and without notice, to revoke, suspend, or terminate any license or access to Untitled UI products without refund if we reasonably believe deception, misuse, impersonation, prior involvement in piracy, login credentials sharing, or any unauthorized use or access outside the scope of this Agreement has occurred.

Upon breach, we may:

Immediately terminate or revoke your license;
Permanently suspend your access to all Untitled UI products;
Refuse or cancel any current and future purchases, orders, or accounts associated with you or your organization;
Deny refunds under any circumstances; and
Pursue all available legal remedies.

Any user or organization found to have engaged in unauthorized copying, sharing, redistribution, or piracy of Untitled UI assets shall be permanently ineligible to purchase, obtain, or hold any current or future license to Untitled UI products.

Sisyphus Ventures Pty Ltd reserves the right to refuse, cancel, or void any orders, purchases, accounts, or access associated with such individuals or organizations, including attempts to repurchase under a different name, email, entity, or account. No refunds will be issued for cancelled or revoked purchases.

Termination does not limit our right to seek damages or other relief permitted by law.

We reserve the right to pursue all available enforcement actions, including DMCA takedowns, trademark enforcement, civil claims for damages, loss of profits, statutory penalties, and recovery of legal fees. We actively monitor marketplaces, piracy forums, Telegram channels, file sharing sites, and other channels for infringements.

By purchasing or downloading Untitled UI products, you agree that deliberate sharing, copying, or unauthorized distribution constitutes financial liability of USD $10,000 per breach. Each individual unauthorized download or distribution may be treated as a separate offense, with no limitation on total damages.

Limitation of Liability

Sisyphus Ventures Pty Ltd’s liability to you for costs, damages, or other losses arising from your use of Untitled UI, including third-party claims against you, is limited to a refund of your purchase.

Sisyphus Ventures Pty Ltd may not be held liable for any consequential damages related to your use of Untitled UI or related websites, files, and services.

Governing Law

Untitled UI® is operated by Sisyphus Ventures Pty Ltd (ABN 65 655 466 729) based in Melbourne, Australia.

This Agreement is governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia and its appellate courts.

Refund Policy

All sales are final. Due to the digital nature of our products and, we do not offer refunds once products are purchased and downloaded.

Please use the preview links on our website to explore the full versions of Untitled UI Figma, Untitled UI React, and Untitled UI Icons before purchasing. These are provided so you can evaluate the Figma files and React components to decide whether the product is right for your needs. We also offer free versions of all Untitled UI products.

Please do not purchase unless you are confident that the product suits your use case and you are familiar with Figma, React, Tailwind CSS, or other relevant tools and technologies.

Updates and Support

If you're having trouble accessing Untitled UI or have questions about your license, please email us at [email protected]. from the same email address you used to purchase Untitled UI. We're a small team, but we'll do our best to get back to you as soon as possible

Please note: we are not Figma support and do not offer general Figma support or support for using Figma features.

Unless expressly stated otherwise by Untitled UI in writing:

Untitled UI is not obligated to provide updates, upgrades, bug fixes, or ongoing support;
Features, APIs, repositories, package registries, and services may be modified, replaced, or discontinued at any time; and
Due to the number of enquries we receive, support response times and service levels are not guaranteed under this License Agreement.

PRO ENTERPRISE customers may receive separate support or service commitments under a separate Enterprise User License Agreement (EULA).

Warranty Disclaimer

The Products are provided “as is” and “as available.”

To the maximum extent permitted by law, Untitled UI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

Merchantability;
Fitness for a particular purpose;
Non-infringement;
Title;
Availability;
Security; and
Error-free operation.

Untitled UI does not warrant that the Products will:

Meet customer requirements;
Operate without interruption;
Be free of errors, defects, or vulnerabilities; or
Remain available in any particular form or configuration.

Nothing in this Agreement excludes, restricts, or modifies any rights or remedies that cannot be excluded, restricted, or modified under applicable law.
